良好存續證明Certificate of Good Standing是什麼？

良好存續證明Certificate of Good Standing是由註冊局出具。英屬維京群島(BVI)的Good Standing以條例式說明公司現在法律狀況 (如下所示)，有些地區僅寫此公司在法律上有良好存續：

  1. Is on the Register of Companies; 公司已登記註冊;
  2. Has paid all fees and penalties due under the Act; 依法令規定沒有任何欠費及罰款;
  3. Has not filed articles of merger or consolidation that have not become effective;沒有申請進行合併的情況;
  4. Has not filed articles of arrangement that have not yet become effective; 沒有申請重整的情況;
  5. Is not in voluntary liquidation; 沒有申請清算;
  6. Is not in liquidation under the Insolvency Act, 2003; 沒有依據破產法申請清算人;
  7. Is not in receivership under the Insolvency Act, 2003; 沒有依據破產法委託破產管理人;
  8. Is not in administrative receivership; and 沒有破產管理人在監察
  9. Proceedings to strike the name of the company off the Register of Companies have not been instituted.公司沒有進行申請除名
