Seychelles IBC 2026 Amendment Highlights | Director Appointment Deadlines, Nominee Disclosure and Company Search Updates
In 2026, Seychelles amended the International Business Companies Act, 2016 through the International Business Companies (Amendment) Act, 2026 (Act 13 of 2026). The amendments revise Sections 134, 150, 346 and 352 and introduce transitional provisions, further updating requirements relating to director appointments, Nominee information disclosure, and company registration and search information for International Business Companies (IBCs).
These amendments affect important aspects of company incorporation and ongoing maintenance. Companies and relevant service providers should take note of the following key changes.
1. Revised Deadline for Appointing First Directors | Section 134
The amendment revises the deadline for appointing a company’s first directors, shortening the original nine-month period to 30 days from the date of incorporation.
Companies should pay close attention to the director appointment timeline following incorporation and complete the relevant procedures promptly to comply with the amended requirements.
2. Nominee Director and Nominator Disclosure | Section 150
The amendment introduces further disclosure requirements concerning Nominee Directors and Nominators. Companies are required to disclose whether any director or alternate director has nominee status and provide the relevant identifying information of the Nominator, in accordance with the applicable requirements.
Transitional deadline: By 31 December 2026.
Companies with nominee arrangements should review their existing records and reporting arrangements as early as possible, and consult their Registered Agent to confirm the required documentation and procedures.
3. Updates to Current Director Information and the Company Search System | Sections 346 and 352
The amendments also address the registration and search information relating to the names of a company’s current directors and their dates of appointment.
Relevant companies should review the director information requirements under the amended framework and consult their Registered Agent to confirm the latest procedures and applicable requirements for accessing Company Search information.
The relevant provisions take effect on 1 January 2027.
Key Considerations for Businesses
In light of the Seychelles IBC regulatory updates, companies and relevant service providers should review director appointment records, nominee arrangements and related identification information in a timely manner. They should also consult their Registered Agent to confirm the applicable requirements and actions to be completed within the transitional period, helping reduce compliance risks arising from incomplete information or missed deadlines.
